These Terms of Service (“Terms”) govern your use of TackOn Table’s website, POS software platform, hardware products, and related services provided by TackOn LLC.

By accessing our website, creating an account, purchasing hardware, or using our services, you agree to these Terms. If you do not agree, do not use our services.

Our Services

Software Services

TackOn Table provides cloud-based restaurant point-of-sale solutions including:

• Restaurant POS software platform
• Payment processing integration
• Inventory management tools
• Staff scheduling and management
• Sales analytics and reporting
• Online ordering integration
• Customer management features

Hardware Products

We sell restaurant POS equipment including:

• POS terminals and tablets
• Customer-facing displays
• Self-service ordering kiosks
• Receipt printers and cash drawers
• Card readers and payment terminals
• Kitchen display systems (KDS)
• Related accessories and peripherals

Account Registration

To access certain features and purchase products, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential
• Accept responsibility for all activities under your account
• Notify us immediately of unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

Hardware Purchases

Orders and Pricing

• All prices listed in US dollars unless otherwise stated
• Prices subject to change without notice; existing orders honored at quoted price
• We reserve the right to limit quantities or refuse orders
• Orders subject to acceptance and availability

Payment

• Payment required at time of order
• We accept major credit cards, debit cards, and ACH bank transfers
• Payments processed through secure, PCI DSS-compliant processors

Shipping and Delivery

• Risk of loss passes to you upon carrier delivery
• Delivery dates are estimates, not guarantees
• Inspect shipments upon delivery

Hardware Warranty

All TackOn Table hardware includes a 1-year limited warranty against defects in materials and workmanship. See our Refund and Return Policy for complete warranty terms.

Returns and Refunds

Hardware returns governed by our Refund and Return Policy, incorporated into these Terms by reference.

Software Subscriptions

Subscription Plans

• Services offered on monthly or annual subscription basis
• Plan features and pricing listed on our website
• We may modify plans, features, or pricing with 30 days notice

Billing

• Subscriptions renew automatically unless canceled
• You authorize charges to your payment method on file
• Failed payments may result in service suspension
• You are responsible for applicable taxes

Cancellation

• Cancel anytime through account dashboard or by contacting support
• Service continues until end of current billing period
• No refunds for partial billing periods (except under 30-day money-back guarantee)

Acceptable Use Policy

You agree to use our services only for lawful purposes. You may not:

• Violate any applicable laws or regulations
• Process fraudulent transactions or engage in money laundering
• Use services for illegal business activity
• Attempt unauthorized access to our systems
• Interfere with or disrupt services or servers
• Reverse engineer, decompile, or disassemble our software
• Remove or alter proprietary notices or labels

Intellectual Property Rights

All content, software, trademarks, logos, and technology used in our services are property of TackOn LLC or its licensors. You may not reproduce, distribute, modify, or create derivative works without written permission.

License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to:

• Use our software platform for your internal business purposes
• Use our hardware products in accordance with their intended purpose

This license terminates upon subscription cancellation or violation of these Terms.

Your Content

You retain ownership of data you input into our system. You grant us a limited license to use, store, and process your data solely to provide the services.

Third-Party Services

Our services may integrate with third-party services (payment processors, delivery platforms, etc.). Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services.

Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, incorporated into these Terms by reference.

Data Security

We implement reasonable security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

Data Backup

We perform regular backups of platform data. However, you are responsible for maintaining your own backups of critical business data.

Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may temporarily suspend services for:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs or security updates
• Events beyond our reasonable control

Disclaimer of Warranties

THE SERVICES AND HARDWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• Services will meet your specific requirements
• Services will be uninterrupted, timely, or error-free
• Results obtained will be accurate or reliable
• Hardware will be free from defects (except as covered by warranty)

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACKON LLC SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of substitute products or services
• Damages arising from use or inability to use services

TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) AMOUNTS PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $500.

Some jurisdictions do not allow limitation of liability; these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless TackOn LLC, its officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of services
• Your violation of these Terms
• Your violation of third-party rights
• Content you submit through services

Termination

By You

Cancel your subscription and stop using services at any time.

By Us

We may suspend or terminate your access immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay amounts due
• Become subject to bankruptcy proceedings

Effect of Termination

Upon termination:

• Your right to use services ceases immediately
• You remain responsible for amounts due
• We may delete your data after a reasonable retention period
• Provisions that should survive termination remain in effect

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Jurisdiction

Legal action arising from these Terms shall be brought in state or federal courts located in Dallas County, Texas. You consent to the jurisdiction of these courts.

Changes to Terms

We may update these Terms periodically. We will notify you of material changes by:

• Posting updated Terms on our website
• Sending notice to your account email
• Displaying a notice within services

Continued use after changes constitutes acceptance of revised Terms.

General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, and Shipping Policy, constitute the entire agreement between you and TackOn LLC.
• Severability: If any provision is unenforceable, remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms. We may assign our rights without restriction.
• Force Majeure: We are not liable for delays or failures due to events beyond reasonable control.
